1. Scope of Services

Generative Strategy Group provides Enterprise Next.js Architecture, Managed Edge Infrastructure, and Enterprise Workflow Automation. Specific deliverables, deployment timelines, and project scopes will be explicitly defined in a separate Master Services Agreement (MSA) or Statement of Work (SOW) executed by both parties.

2. Service Level Agreement (SLA) & Third-Party Reliance

Edge Infrastructure Uptime: For clients enrolled in our Managed Edge Infrastructure, we target a 99.99% uptime via the Vercel Edge Network. In the event SLA drops below this threshold, remedies are strictly limited to prorated hosting credits for the affected period, and do not entitle the client to refunds for the foundational architecture build.

Third-Party Outages: Our custom architectures rely on enterprise third-party APIs (e.g., Vercel, Sanity, Stripe). We are not legally or financially liable for outages, API deprecations, or pricing changes enforced by these external providers.

3. AI Liability Exemption

While we engineer and deploy Autonomous AI Agents based on your provided proprietary documentation, Large Language Models (LLMs) are inherently probabilistic systems. Generative Strategy Group is not legally, operationally, or financially liable for AI "hallucinations," inaccurate outputs, incorrect pricing quoted by AI agents, or any resulting business damages or lost revenue.

4. Intellectual Property (IP) Ownership

Upon the full clearance of all architecture and development invoices, the client assumes ownership of the final deployed front-end application code.

However, Generative Strategy Group retains exclusive ownership of all pre-existing foundational code libraries, deployment scripts, underlying software frameworks, and proprietary workflow logic used to construct the system. The client receives a perpetual, non-exclusive license to utilize these foundational elements within their deployed application.

5. SMS & Communications (A2P 10DLC)

By submitting your phone number through our secure intake forms, you explicitly consent to receive SMS text messages and phone calls from Generative Strategy Group regarding your project status.

• Rates: Message and data rates may apply depending on your carrier.
• Opt-Out: You may opt out at any time by replying STOP.

6. Limitation of Liability & Governing Law

To the maximum extent permitted by law, Generative Strategy Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages—including loss of profits, data breaches at the third-party level, or business goodwill—arising out of your use of our architecture. Our total liability for any claim shall not exceed the total amount paid by you to us for the specific service giving rise to the claim in the three (3) months prior to the incident.

These terms shall be governed by and construed in accordance with the laws of the State of Iowa, United States. Any legal action shall be brought exclusively in the state or federal courts located in or near Cedar Rapids, Iowa.
